Adam C. Witt has a broad-based practice, which is concentrated primarily in corporate and business transactions, real estate, and construction law. Mr. Witt started his career as a litigator but has since shifted his focus principally to transactional matters. Mr. Witt assists the firm’s clients with all types of business, corporate, and real estate issues, including contract drafting and review, corporate structuring and restructuring, corporate finance, mergers and acquisitions, real estate development, real property sales and leasing, business continuity planning, and licensing. Mr. Witt’s litigation experience includes the resolution of a variety of issues, including breaches of contract, general/subcontractor disputes, owner/general contractor disputes, landlord/tenant disputes, property damage, tort liability defense, and insurance coverage.

Mr. Witt is admitted to practice before all California state courts and before the Southern and Northern United States District Courts of California. He is a member of the State Bar of California and the San Diego County Bar Association (including the Business & Corporate Law, Real Property Law, and Construction Law sections). Mr. Witt received his juris doctor from the University of San Diego School of Law, from which he graduated cum laude and was made a member of the Order of the Coif. Mr. Witt was also a member of the San Diego Law Review and was selected to serve as a Comments Editor on the San Diego Law Review Editorial Board. Mr. Witt earned several academic achievement awards at the University of San Diego, including a CALI award in Civil Procedure II and high honors in Advanced Legal Writing. While in law school, Mr. Witt also had the privilege of serving as an extern with Justice Richard D. Huffman at the California Court of Appeal, Fourth District, Division One. Mr. Witt received his Bachelor of Arts in History from the University of Minnesota. Prior to entering law school, Mr. Witt worked on numerous bridge and commercial construction projects as a journeyman ironworker.

Representative Experience

Subcontract Default And Surety Takeover

The firm was engaged by a prominent specialty constructor with a mixed backlog of bonded and unbonded work to work out of a severe negative cash flow and insolvency problem. The client’s principals faced personally guaranteed debts of over $4.6 million. Within just 90 days, the firm counseled its clients through a workout that resulted in payouts of less than half of the debt, allowing the principals to re-start their careers.​

The firm successfully obtained the dismissal of a federal court action filed in California against an out-of-state subcontractor for lack of personal jurisdiction.

Corporate Structuring, Planning And Protection Of Intellectual Property Of Premium Organic Juice Manufacturer In U.S. And International Markets

The firm structured and planned new business with placement in major national retailers. Negotiated and managed corporate transactions from formation to raising capital and debt for major equipment. Negotiated commercial lease and counseled client regarding labor and employment procedures. Successfully registered client brand name in U.S. for protection of client intellectual property from conflicting or competing uses. Evaluated, planned and managed application process for client registration of additional brands, logos, product names and label design for over 20 products in the U.S., Canada and the 27 countries comprising the European Union.

Medical Office Building Project

The firm represented client in structuring and implementation of every aspect of a state of the art design-build medical office building, including formation of entities, drafting ground lease, drafting design-build construction contract, drafting architect agreements, drafting office leases, drafting consulting agreement, and advising on land use planning issues.
